Hologic to be Acquired by Blackstone in $18 Billion Mega-Deal

Marlborough-based Hologic has announced plans to be acquired by private equity giant Blackstone teamed with PE firm TPG, in a transaction valued at up to $18.3 billion. Hologic is a global leader in women’s health, developing innovative medical technologies that detect, diagnose and treat a variety of conditions. As reported in the Boston Globe, the deal continues the expansion of Blackstone’s life sciences footprint in the greater Boston area where it has made major investments over the past decade, including taking a stake in Alnylam.

According to Stephen P. MacMillan, Hologic’s Chairman, President and CEO, “With their resources, expertise and commitment to women’s health, Blackstone and TPG will help accelerate our growth and enhance our ability to deliver critical medical technologies to customers and their patients around the world.”

The transaction is expected to close in the first half of calendar year 2026, subject to the approval of Hologic’s stockholders, the receipt of required regulatory approvals and the satisfaction of certain other customary closing conditions. The Hologic Board of Directors has unanimously approved the merger agreement and recommends that Hologic stockholders vote their shares to approve the transaction and adopt the merger agreement. Following closing of the transaction, the company will maintain its headquarters in Marlborough and will continue to operate under the Hologic name and brand.
